No, the Company Secretary can be a natural person or a body corporate. With effective from 1 March 2018, all persons operating or intending to carry on a trust or company secretarial services business in Hong Kong are required to apply for a Trust or Company Service Provider Licence (TCSP). 

SJH Global is one of the TCSP licensee under licence number TC007216.

Yes, the new Company Secretary will need to arrange handover with the resigned Company Secretary. At the same time, the resigned Company Secretary should submit a notice of resignation to the Company, and the new Company Secretary would handle the relevant documents regarding the Change of Company Secretary and update the relevant records of the Company Registers.

According to the Companies Ordinance, the sole director of a Private Limited Company must not also be the Company Secretary of the Company.
